Welcome to Super Cluster Studio. By accessing or using our website and services, you (“Client,” “you,” or “your”) agree to be bound by the following terms and conditions. If you do not agree, you must discontinue use of our services immediately.
Services Provided
Super Cluster Studio LLC is a creative digital agency providing, but not limited to, the following services:
- Branding: Logo design, brand guidelines, visual identity systems, pitch decks, and presentations.
- UX/UI Design: Wireframes, prototypes, design systems, user testing, and user experience optimization.
- Web Development: WordPress, React, Magento, custom-coded solutions, and integrations with third-party APIs.
- Digital Product Design: Templates, design systems, creative assets, and software-related design deliverables.
- Consulting & Training: Ongoing support, workshops, or knowledge transfer sessions (if included in the agreement).
We may expand, discontinue, or adjust the scope of services at our discretion. Any client requests outside of the agreed scope will require a new written agreement, change order, or paid addendum.
Engagement & Workflow
Our standard workflow generally follows these stages:
- Project Briefing — defining objectives, scope, deliverables, deadlines, and expectations.
- Proposal & Agreement — outlining deliverables, payment structure, and contractual terms (agreed via email or signed contract).
- Design & Development — execution of the project, shared in milestones, prototypes, or drafts for client review.
- Feedback & Revisions — client provides timely input. Delayed feedback may result in adjusted delivery timelines.
- Final Delivery — completed files, assets, documentation, or credentials are handed over once all invoices are cleared.
- Support & Maintenance — only provided if explicitly stated in the contract (e.g., bug fixes, updates, or training).
Emergency or last-minute changes requested outside the agreed scope may be billed at an expedited or premium rate.
Client Responsibilities
By working with Super Cluster Studio LLC, the Client agrees to:
- Provide complete and accurate information, including brand guidelines, content, and assets.
- Ensure supplied materials do not infringe on intellectual property rights or violate applicable laws.
- Cooperate in good faith and provide approvals, feedback, or clarifications within the agreed timeframe.
- Maintain backups of original content and assets.
- Pay invoices in full and on time.
Failure to cooperate or delays in approvals may extend project timelines. Super Cluster Studio LLC will not be held liable for such delays.
Payments
- Unless otherwise agreed in writing, 100% of project fees are due upfront.
- For larger projects, milestone-based or staged payments may be arranged.
- Invoices are payable upon receipt unless otherwise specified.
- Late payments may incur interest of 2% per month (or the maximum allowed by law).
- Super Cluster Studio LLC may suspend ongoing work, withhold final deliverables, or revoke usage rights until outstanding balances are cleared.
- All fees are quoted in USD unless otherwise specified. The Client is responsible for covering all applicable taxes, transaction fees, or conversion charges.
Intellectual Property Rights
- Clients retain ownership of all pre-existing assets they provide (logos, brand assets, content, etc.).
- Super Cluster Studio LLC retains ownership of all proprietary frameworks, design methodologies, code libraries, and processes used in delivery.
- Upon full payment, the Client will be granted either a license to use the deliverables or a full transfer of ownership, as defined in the specific contract.
- Super Cluster Studio LLC reserves the right to showcase completed work (unless restricted in writing) in its portfolio, case studies, or promotional materials.
- Unauthorized use of deliverables before full payment constitutes copyright infringement and may result in legal action.
Limitations of Liability
Super Cluster Studio LLC delivers high-quality services but cannot guarantee specific measurable results such as sales increases, search engine rankings, or ROI. We are not liable for:
- Platform or third-party restrictions (e.g., hosting downtime, plugin failures, account suspensions).
- Algorithm or industry changes affecting marketing or search performance.
- Client misuse, unauthorized modification, or misrepresentation of deliverables.
- External factors beyond our control (e.g., force majeure, internet outages, vendor supply failures).
In all cases, our total liability is limited to the total fees paid by the Client for the specific project.
Termination & Cancellation
- Either party may terminate the agreement before project commencement with written notice.
- If the Client cancels mid-project, they may be entitled to a partial refund minus the value of completed work, per our Refund & Cancellation Policy.
- Once final deliverables are handed over, no refunds will be issued.
- Super Cluster Studio LLC reserves the right to terminate services immediately if the Client engages in unlawful, unethical, or abusive conduct.
Confidentiality & Data Security
Both parties agree to protect sensitive project and business information:
- Super Cluster Studio LLC follows industry-standard data security practices, including access controls and secure storage.
- We are not responsible for breaches outside our control (e.g., third-party hacks).
- Clients are solely responsible for securing their own hosting accounts, domains, email accounts, and credentials.
Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA.
- Both parties agree to attempt resolution through good faith negotiation before escalating.
- Each party shall bear its own legal costs unless otherwise determined by the arbitrator.
Updates to Terms
Super Cluster Studio LLC may update these Terms at any time. Changes will be effective upon posting with a revised Effective Date. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.
